Medifocus, Inc. Announces SEC Deregistration

Medifocus, Inc. announced its decision to terminate and suspend the registration of its stock with the Securities and Exchange Commission.

TORONTO, ON and COLUMBIA, MD / ACCESSWIRE / May 12, 2022 / Medifocus, Inc. (OTC PINK:MDFZF) and (TSXV:MFS.H.APH) (“Medifocus” or the “Company”) a biotechnology company holding a portfolio of medical products encompassing thermotherapy systems used in treating cancerous and benign tumors and enlarged prostate, announced its decision to terminate and suspend the registration of its stock with the Securities and Exchange Commission (the “SEC”). The Company also intends to cause its common stock to cease trading on the OTC PINK.

The Company intends to file with the SEC to voluntarily deregister its common stock and suspend its reporting obligations under the Securities Exchange Act of 1934, as amended (the “Exchange Act”), on or about May 20, 2022. When the deregistration becomes effective, the Company’s obligation to file certain Exchange Act reports and forms with the SEC, including Form 20-F, periodical reports, and other filing requirements will terminate.

The Board of Directors’ decision to deregister was made in conjunction with the board’s continuing review of on-going balance sheet restructuring previously announced in September 2021.
