Ventas Prices $125 Million of 6-5/8% Senior Notes Due 2014

LOUISVILLE, Ky., Oct. 8 /PRNewswire-FirstCall/ -- Ventas, Inc. (“Ventas” or the “Company”) today announced that it has priced a private offering of $125 million of 6-5/8% Senior Notes due 2014. The sale of the Notes is expected to close on October 15, 2004.

The Notes are being issued by Ventas’s operating partnership, Ventas Realty, Limited Partnership, and a wholly-owned subsidiary, Ventas Capital Corporation (the “Issuers”). The Notes will mature on October 15, 2014 and will be senior, unsecured obligations, ranking pari passu with all existing and future senior unsecured indebtedness of the Issuers and the Company. The Company will unconditionally guarantee the Notes. Interest on the Notes will be payable semiannually on April 15 and October 15 of each year, commencing on April 15, 2005.

The Company said it currently intends to use the net proceeds of the offering to repay a portion of the outstanding indebtedness under its revolving credit facility.
