TEL-AVIV, Israel, March 29, 2016 RedHill Biopharma Ltd. (NASDAQ/TASE: RDHL) (“RedHill” or the “Company”), a biopharmaceutical company primarily focused on the development and commercialization of late clinical-stage, proprietary, orally-administered, small molecule drugs for inflammatory and gastrointestinal diseases, including cancer, together with IntelGenx Corp. (TSXV: IGX; OTCQX: IGXT) (“IntelGenx”), a Canadian drug delivery company focused on oral drug delivery, today announced that they have entered into a binding term sheet with Grupo JUSTE S.A.Q.F (“Grupo JUSTE”) granting Grupo JUSTE the exclusive license to commercialize RIZAPORT™ in Spain and a right of first refusal for additional territories. RIZAPORT™ is a proprietary oral thin film formulation of rizatriptan for the treatment of acute migraines.
Under the term sheet, subject to remaining conditions, a definitive agreement is planned to be entered into within 60 days of the execution of the term sheet.
Pursuant to the signing of a definitive agreement, RedHill will grant Grupo JUSTE the exclusive rights to register and commercialize RIZAPORT™ in Spain and a right of first refusal for the territories of Belize, Carribean, Chile, Colombia, Costa Rica, Dominican Republic, El Salvador, Guatemala, Honduras, Mexico, Nicaragua, Panama, Middle East and Morocco. Under the term sheet, RedHill and IntelGenx will receive an upfront payment and will be eligible to receive additional milestone payments upon achievement of certain predefined regulatory and commercial targets, as well as tiered royalties. Financial terms of the term sheet were not disclosed. The initial term of the definitive agreement is expected to be for ten years from the date of first commercial sale with an automatic renewal for an additional two-year term. Commercial launch in Spain is estimated to take place in the second half of 2017.
RedHill further announced that the previously announced new U.S. formulation patent covering RIZAPORT™ will be issued by the U.S. Patent and Trademark Office (USPTO) on April 5, 2016. The patent is valid until 2034.
Adi Frish, RedHill’s Senior VP Business Development & Licensing, said: “We are very pleased to enter into this term sheet with Grupo JUSTE, which sets the ground for the first commercialization agreement for RIZAPORT™ and once again demonstrates RedHill’s ability to carefully and selectively secure high-quality partners for its products. Grupo JUSTE is a prominent and well-established Spanish company with a proven track record in commercializing migraine and other CNS drugs in Spain and additional territories. With a unique dissolvable oral thin film delivery form, RIZAPORT™ is a potentially attractive therapeutic alternative for many migraine patients, including the estimated 80% of the total migraine population suffering from migraine-related nausea. We continue our discussions with potential commercialization partners for RIZAPORT™ in the U.S., Europe, and additional territories and are working diligently with IntelGenx to gain FDA marketing approval for RIZAPORT™ in the U.S.”
Inés Juste, President of Grupo JUSTE added:“We are extremely satisfied to announce the planned arrival of this new formulation of a leading treatment for migraine. Our partners, IntelGenx and RedHill possess a deep knowledge in the pharmaceutical industry including strong leadership in innovative formulations that improve the compliance and the administration pattern of gold standard drugs. This term sheet should allow Grupo JUSTE to bring this new comprehensive treatment to Spain and potentially some Latin American and Middle East countries and to reinforce its presence in Neurology.” The Federal Institute for Drugs and Medical Devices of Germany (BfArM) recently granted marketing authorization of RIZAPORT™ 5 mg and 10 mg under the European Decentralized Procedure (DCP), in which Germany served as the Reference Member State for other European Union (EU) countries. This authorization was the first national marketing approval of RIZAPORT™.
RedHill and IntelGenx submitted a New Drug Application (NDA) to the FDA in 2013 seeking marketing approval of RIZAPORT™ in the U.S. In 2014, the companies received a complete response letter (CRL) from the FDA which raised questions primarily related to CMC. No deficiency was raised relating to the safety or bio-equivalence data of RIZAPORT™. RedHill and IntelGenx expect to re-submit the RIZAPORT™ New Drug Application (NDA) to the FDA in the fourth quarter of 2016 and subsequently receive a new PDUFA (Prescription Drug User Fee Act) and are in discussions with potential commercialization partners for the U.S market.
About RIZAPORT™ (RHB-103):
RIZAPORT™ is a proprietary oral thin film formulation of rizatriptan benzoate, a 5-HT1 receptor agonist and the active drug in Merck & Co.’s Maxalt®. RIZAPORT™ 5 mg and 10 mg were approved for marketing in Germany in October 2015 under the European Decentralized Procedure. A New Drug Application for RIZAPORT™ was also filed with the U.S. FDA in 2013 and a CRL was received in 2014. Rizatriptan is considered to be one of the most effective oral triptans, a class of molecules that constricts blood vessels in the brain to relieve swelling and other migraine symptoms. The worldwide annual sales of triptans were estimated to have exceeded $690 million in 2015. RIZAPORT™ is based on IntelGenx’s proprietary VersaFilm™ technology. It dissolves rapidly and releases its active ingredient in the mouth, leading to efficient absorption of the drug through the gastrointestinal tract. The administration method of the RIZAPORT™ oral thin film, which does not require the patient to swallow a pill or consume water, along with its pleasant flavor, presents a potentially attractive therapeutic alternative for migraine patients, specifically for patients who suffer from migraine-related nausea, estimated to be approximately 80% of the total migraine patient population and patients suffering from dysphagia (difficulty swallowing).
