PAVmed Announces Closing of Over-Allotment Option with Respect to Firm Commitment Common Stock Offering

The Firm Shares and the Option Shares were sold at a public offering price of $1.80 per share.

NEW YORK--(BUSINESS WIRE)-- PAVmed (Nasdaq: PAVM, PAVMW) (“PAVmed”), a highly differentiated, multiproduct medical device company, today announced that it has completed the sale of 234,540 shares (“Option Shares”) of common stock, $0.001 par value per share (“Common Stock”), in connection with the partial exercise of the over-allotment option granted to the underwriter in its previously announced public offering of 2,415,278 shares of Common Stock (“Firm Shares”). The Firm Shares and the Option Shares were sold at a public offering price of $1.80 per share.

Dawson James Securities, Inc. acted as the underwriter of the offering.

Net proceeds from the sale of the Firm Shares and the Option Shares, after underwriting discounts and other offering expenses, were approximately $4.3 million. The Company plans to use the net proceeds for working capital and other general corporate purposes.

The remainder of the over-allotment option may be exercised by the underwriter for up to 127,752 additional shares of Common Stock until March 5, 2018.
