WALTHAM, Mass.--(BUSINESS WIRE)--April 6, 2006--Oscient Pharmaceuticals Corporation (Nasdaq: OSCI - News) today announced that it has entered into definitive agreements with institutional and other accredited investors for the private placement of approximately 18 million shares of Oscient Pharmaceuticals common stock at a price of $1.93 per share for a total of approximately $35 million. The financing is expected to close on or about April 11, 2006.
As part of the transaction, investors will receive warrants to purchase approximately 9 million additional shares at an exercise price of $2.22 per share. The warrants will remain exercisable for a period of five years from the closing of the financing.
The securities to be issued by Oscient in the private placement have not been registered under the Securities Act of 1933, as amended, and may not be offered or sold in the United States absent registration under the Securities Act and applicable state securities laws or an applicable exemption from those registration requirements. Oscient Pharmaceuticals has agreed to file a registration statement with the Securities and Exchange Commission to register the resale of the shares of common stock issued in the private placement, as well as the shares of common stock issuable upon the exercise of the warrants issued in the private placement.
