ST. LOUIS, April 27, 2011 /PRNewswire/ --Express Scripts, Inc. (Nasdaq: ESRX) announced that it has successfully priced its $1.5 billion underwritten public offering of 3.125% senior notes due 2016 to yield 3.212%, which was consistent with the expectations discussed in Monday’s earnings release. The offering was made pursuant to the Company’s registration statement and prospectus filed with the Securities and Exchange Commission (“SEC”). The Company will pay interest on the notes semi-annually on May 15 and November 15 of each year, beginning on November 15, 2011. The notes will be jointly and severally and fully and unconditionally guaranteed on a senior unsecured basis by certain of the Company’s current and future wholly owned domestic subsidiaries.
The Company indicated that it intends to use the net proceeds from the debt offering to repurchase its common stock under the existing share repurchase program, and for other general corporate purposes.
