ST. PAUL, Minn., Aug. 11, 2017 /PRNewswire/ -- EnteroMedics Inc. (NASDAQ:ETRM), a developer of minimally invasive medical devices to treat obesity, metabolic diseases and other gastrointestinal disorders, today announced the pricing of an underwritten public offering of units for gross proceeds of $20 million, prior to deducting underwriting discounts and commissions and offering expenses payable by EnteroMedics.
The offering consists of units, priced at a public offering price of $1,000 per unit, comprised of one share of series B convertible preferred stock, which is convertible into 435 shares of common stock at a conversion price of $2.30 per share (the “preferred stock”), and one seven-year warrant to purchase 435 shares of common stock, at an exercise price of $2.30 per share. The preferred stock issued in the offering includes a beneficial ownership blocker but has no dividend rights (except to the extent dividends are also paid on the common stock). The securities comprising the units are immediately separable and will be issued separately. The closing of the offering is expected to take place on or about August 16, 2017, subject to the satisfaction or waiver of customary closing conditions.
Ladenburg Thalmann & Co. Inc., a subsidiary of Ladenburg Thalmann Financial Services Inc. (NYSE American: LTS), is sole book-running manager in connection with the offering.
A total of 20,000 shares of preferred stock convertible into 8.7 million shares of common stock, and warrants to purchase 8.7 million shares of common stock will be issued in the offering.
EnteroMedics intends to use the net proceeds from the offering to continue its commercialization efforts, for clinical and product development activities, and for other working capital and general corporate purposes.
