All the offered shares will be sold by NightHawk, and certain stockholders of the company have granted the underwriters an over-allotment option.
NightHawk, headquartered in Coeur d'Alene, Idaho, provides nighttime and weekend emergency radiology services to radiology groups and hospitals across the United States. NightHawk's team of American Board of Radiology-certified, U.S. state-licensed and hospital-privileged affiliated radiologists uses its proprietary workflow technology to provide radiological interpretations to customers in the United States primarily from centralized reading facilities located in Sydney, Australia and Zurich, Switzerland.
Morgan Stanley & Co. Incorporated will act as the sole bookrunning manager for the offering.
