CAMBRIDGE, Mass., Aug. 7 /PRNewswire-FirstCall/ -- Verenium Corporation (Nasdaq: VRNM), a leading developer of cellulosic ethanol technology and a pioneer in the development of high performance specialty enzymes, today announced that on August 2, 2007, it filed an amendment to its Form S-3 Resale Registration Statement, originally filed with the Securities and Exchange Commission on June 20, 2007, and that the Securities and Exchange Commission declared the Registration Statement effective as of August 6, 2007. Verenium filed the Registration Statement to satisfy certain of its obligations under a registration rights agreement that Verenium entered into in connection with its recent private placement of $120 million in aggregate principal amount of 5.50% Convertible Senior Notes due 2027. The Registration Statement, while effective, allows selling securityholders to publicly resell the convertible senior notes and the common stock issuable upon their conversion, subject to certain limitations included in the registration rights agreement and the satisfaction by selling securityholders of the prospectus delivery requirements of the Securities Act of 1933, as amended, in connection with any such resales.
