The company had filed a Form 12b-25 (Notification of Late Filing) with the SEC on March 16, 2006 seeking a 15-day extension to file its Annual Report on Form 10-K, which was originally due on March 16, 2006.
Orchid Cellmark is unable to file its Annual Report on Form 10-K for fiscal year 2005 by the extended deadline of March 31, 2006 due to a delay it is experiencing in the completion of the audit of its 2005 consolidated financial statements and the amount of internal and external audit work needed to satisfy the requirements of Section 404 of the Sarbanes-Oxley Act of 2002. Due to this delay, the company’s fourth quarter and full year 2005 financial results have not yet been announced.
