ContraFect Corporation (NASDAQ: CFRX) (NASDAQ: CFRXW) (NASDAQ: CFRXZ), a biotechnology company focused on the discovery and development of protein therapeutics and antibody products for life-threatening, drug-resistant infectious diseases, today announced that it has entered into a definitive securities purchase agreement with a group led by institutional accredited investors, Oracle Investment Management, Inc., Broadfin Capital, LLC, Birchview Capital, LP affiliates, and Cormorant Asset Management. The private placement consists of approximately 4.73 million shares of common stock, together with warrants to purchase approximately 2.36 million additional shares of common stock, yielding gross proceeds of $20 million. The purchase price for the securities is $4.23 per each share of common stock and warrant to purchase one-half share of common stock, which price is based on the closing price of the Company’s common stock on the Nasdaq Capital Market on June 10, 2015. The warrants have an exercise price of $8.00 per full share and a term of three years. The private placement is expected to close on or about June 12, 2015, subject to customary closing conditions.

The proceeds will be directed to help fund our Phase 2 clinical trials for CF-301 for staph bloodstream infections, IND-enabling activities for CF-404 for serious influenza and other corporate purposes.
Brookline Group, LLC and M.M. Dillon & Co. Group LLC acted as placement agents for the transaction.
Roth Capital Partners, LLC acted as financial advisor to ContraFect.
