Assembly Biosciences Announces Pricing Of $75 Million Public Offering Of Its Common Stock

NEW YORK, March 19, 2015 (GLOBE NEWSWIRE) -- Assembly Biosciences, Inc. (Nasdaq:ASMB) (“Assembly”) announced today the pricing of an underwritten public offering of $75 million, or 5,555,555 shares of its common stock pursuant to an effective shelf registration statement that was previously filed with the Securities and Exchange Commission at a public offering price of $13.50 per share, before underwriting discounts. All of the shares in the offering are to be sold by Assembly. In addition, Assembly has granted the underwriters an option for a period of 30 days to purchase up to an additional 833,333 shares of common stock at the public offering price, less the underwriting discount.

Credit Suisse and William Blair are acting as joint lead book-running managers for the offering.

Assembly expects to close the offering on or about March 24, 2015, subject to satisfaction of customary closing conditions.
