Anavex Successfully Closes $10 Million Financing to Initiate Phase 1b/2a Alzheimer’s Clinical Trial

NEW YORK, March 19, 2014 (GLOBE NEWSWIRE) -- Anavex Life Sciences Corp. (“Anavex” or the “Company”) (AVXL), a clinical stage biopharmaceutical company developing novel drug candidates to treat Alzheimer’s, diseases of the central nervous system (CNS) and various types of cancer, announced today that it has closed, as previously announced on March 13, 2014, the private placement of $10 million in principal amount of convertible debentures with several institutional and accredited investors, including U.S. and international healthcare funds. In addition, the investors received warrants to purchase up to approximately 66.7 million shares of common stock in the aggregate.

The funds will be used to initiate a Phase 1b/2a clinical trial of ANAVEX PLUS and advance its product portfolio. ANAVEX PLUS is a promising, potentially novel combination drug for Alzheimer’s disease that combines ANAVEX 2-73 with donepezil (Aricept(R)), the world’s best-selling Alzheimer’s drug.

The debentures are convertible into common stock at a conversion price of $0.30 per share and have a term of 30 years from issuance. There are no interest payments in connection with the debentures. The investors received Series A warrants to purchase up to approximately 33.3 million shares of common stock and Series B warrants to purchase up to approximately 33.3 million shares of common stock. The Series A warrants and Series B warrants have exercise prices of $0.30 per share and $0.42 per share, respectively, and are immediately exercisable with a five-year term.

Maxim Group LLC served as the exclusive placement agent for the transaction.
