AMAG Announces Pricing Of Private Offering Of $500 Million Of Senior Notes Due 2023

WALTHAM, Mass., Aug. 12, 2015 (GLOBE NEWSWIRE) -- AMAG Pharmaceuticals, Inc. (Nasdaq:AMAG) today announced that it has priced its offering of $500 million aggregate principal amount of 7.875% Senior Notes due 2023 (the “notes”). This represents a $50 million increase from the $450 million aggregate principal amount previously announced on August 5, 2015. The notes were priced at an issue price of 100% of their face amount. The offering is expected to close on August 17, 2015, subject to customary closing conditions.

AMAG intends to use the net proceeds from this offering to finance its previously announced acquisition of Cord Blood Registry® (“CBR”), to refinance certain existing indebtedness, to pay various fees and expenses incurred in connection with the CBR acquisition and related financing transactions, and for general corporate purposes.

The notes are being offered only to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”) and to non-U.S. buyers in accordance with Regulation S under the Securities Act.
