The offering is not subject to any minimum and is to be of up to 3.5 million units at 20 cents per unit, with each unit consisting of one share and one-half warrant. Each whole warrant is exercisable into one common share for a period of one year at 25 cents per share. The warrants will be non-transferable. The proceeds of the offering will be used to finance production, inventory, sales and marketing expenses, and for general working capital.
