Intercept Pharmaceuticals Announces Pricing Of Public Offering

NEW YORK, Feb. 4, 2015 (GLOBE NEWSWIRE) -- Intercept Pharmaceuticals, Inc. (Nasdaq:ICPT) (Intercept), a clinical stage biopharmaceutical company focused on the development and commercialization of novel bile acid therapeutics to treat chronic liver diseases, today announced the pricing of an underwritten public offering of 1,000,000 shares of its common stock at a public offering price of $176.00 per share. In addition, Intercept has granted the underwriters a 30-day option to purchase up to an additional 150,000 shares of common stock.

All shares in the offering are being sold by Intercept, with expected net proceeds to Intercept of approximately $166.2 million (or approximately $191.2 million if the underwriters exercise in full their option to purchase additional shares), after deducting underwriting discounts and commissions and estimated offering expenses. The offering is expected to close on or about February 10, 2015, subject to customary closing conditions.

Citigroup, RBC Capital Markets and Deutsche Bank Securities are acting as joint book-running managers and underwriters for the offering.
