Spence submitted his resignation from the Board of Directors effective immediately. He was a member of the following Board Committees: Audit Committee, Corporate Governance and Nomination Committee, Executive Committee and was designated as the financial expert on the Audit Committee. Mr. Spence stated that his perspective on corporate strategy differed with a majority of the Board of Directors.
