CHADDS FORD, Pa., March 21 /PRNewswire-FirstCall/ -- Endo Pharmaceuticals Holdings Inc. announced today the pricing of a public offering of 10.5 million shares of its common stock by certain of its shareholders. The shares are being offered by Bear, Stearns & Co. Inc. as underwriter.
All of the shares are currently issued and outstanding except for 26,250 shares representing shares underlying outstanding stock options. Endo’s largest shareholder, Endo Pharma LLC, an affiliate of Kelso & Company (a private equity investment firm), is selling the majority of the shares being sold. Certain members of management have an ownership interest in Endo Pharma LLC. Shares are also being sold by certain current and former members of management and directors of Endo.
Following completion of the offering, Endo Pharma LLC will hold less than 1.0% of Endo’s outstanding common stock. Endo, which has approximately 133 million shares outstanding, will not receive any of the proceeds from this offering.
