CEDAR KNOLLS, N.J., June 30, 2011 (GLOBE NEWSWIRE) -- Emisphere Technologies, Inc. (the “Company”) (OTCQB:EMIS) today announced that it has entered into a securities purchase agreement with certain institutional investors pursuant to which the Company has agreed to sell an aggregate of approximately 4.3 million shares of its common stock and warrants to purchase a total of approximately 3.0 million shares of its common stock for total gross proceeds of approximately $3.75 million. Each unit, consisting of one share of common stock and a warrant to purchase 0.7 shares of common stock, will be sold at a purchase price of $0.872.
