Dendreon Corporation Announces Registered Direct Common Stock Offering Of $45 Million

SEATTLE, Nov. 16 /PRNewswire-FirstCall/ -- Dendreon Corporation today announced that the Company has entered into definitive agreements with selected institutional investors to sell 9,890,110 shares of its common stock through a registered direct offering for gross proceeds of $45 million, before deducting offering fees and expenses. Credit Suisse Securities (USA) LLC and Lazard Capital Markets LLC acted as joint lead placement agents for the offering.

The shares are being offered pursuant to the Company’s effective shelf registration statement previously filed with the Securities and Exchange Commission. The shares of common stock may only be offered by means of a prospectus. The closing of the offering is expected to take place on November 21, 2006, subject to satisfaction of customary closing conditions.
