CHICAGO--(BUSINESS WIRE)--InfrAegis announced today on behalf of Bacteria Sciences Worldwide, LLC (BSW) that DLM Capital Investors, LLC (DLM) is investing $1 billion in BSW for 30% of the Company. DLM will receive one BSW board seat.
With respect to the press release of InfrAegis, Inc. (“IA”) issued August 25, 2008, it is very important to note that IA’s agreement with DLM Capital Investors, LLC (“DLM”) has not yet commenced.
DLM’s purchase of equity in IA’s 94% owned subsidiary, Bacteria Sciences Worldwide, LLC (“BSW”), is subject to IA’s prior receipt of certain funding to IA by third parties. Execution of DLM’s purchase of the equity interest in BSW is scheduled to be made in a number of segments occurring over a period of time.
Following our August 25, 2008 press release, IA and BSW received a number of inquiries about DLM’s investment in BSW. These inquiries have essentially asked the same question: How does this effect prior investments in IA? Upon final consummation of the DLM investment, IA investors will continue to own the majority share of BSW, and DLM’s investment will allow BSW to execute its business plan. Future financial arrangements for IA and BSW will be subject to IA’s Board of Directors’ review of investment bankers’ recommendations.
