BETHESDA, Md., April 1 /PRNewswire-FirstCall/ -- On March 30, 2004, Hanger Orthopedic Group, Inc. filed a "shelf" Registration Statement on Form S-3 relating to the primary registration by the Company of up to 6,500,000 shares of the Company's common stock and the secondary registration on behalf of the holders of the Company's 7% Redeemable Preferred Stock of up to a total of 3,137,500 shares of common stock that such preferred shareholders may acquire upon conversion of their preferred stock.
With respect to the primary registration of 6,500,000 shares of common stock, the Company has no current plans to conduct any offering of such shares. The shares of common stock underlying the preferred stock were included in the shelf filing in response to the exercise of registration rights held by the holders of the preferred stock. Hanger has received no request from any of such holders to convert their shares of preferred stock.
