EXTON, Pa., Dec. 11, 2017 (GLOBE NEWSWIRE) -- Fibrocell Science (NASDAQ:FCSC), a gene therapy company focused on transformational autologous cell-based therapies for skin and connective tissue diseases, today announced the closing of the previously announced underwritten public offering of 13,636,364 shares of its common stock (Common Stock) (or Common Stock equivalent) and common warrants to purchase up to an aggregate of 14,046,950 shares of Common Stock (the Offering), including common warrants to purchase up to 410,586 shares of Common Stock pursuant to the partial exercise of the underwriter’s option to purchase additional common warrants (the Partial Exercise). Each share of Common Stock (or Common Stock equivalent) was sold together with a common warrant to purchase one share of Common Stock at a combined effective price to the public of $0.77 per share and accompanying common warrant.

The gross proceeds of the Offering were approximately $10.5 million and the net proceeds from the Offering were approximately $9.3 million, after deducting underwriting discounts and commissions and other offering expenses. Fibrocell intends to use the net proceeds from this Offering for the continued clinical and pre-clinical development of its product candidates, FCX-007 and FCX-013, for the research of potential product candidates under its 2015 Exclusive Channel Collaboration Agreement with Intrexon Corporation and for other general corporate purposes.
The common warrants issued in the Offering are exercisable immediately at an exercise price of $0.77 per share and will expire five years from the date of issuance.
In addition, Fibrocell has granted the underwriter a 30-day option to purchase up to 2,045,454 additional shares of Common Stock at a purchase price of $0.76 per share and/or common warrants to purchase up to an aggregate of 2,045,454 shares of Common Stock, which includes the underwriter’s Partial Exercise, at a purchase price of $0.01 per common warrant, less the underwriting discounts and commissions.
