The shelf registration statement, if declared effective by the SEC, will allow the Company to raise up to $100 million through the sale of securities, which may consist of common stock, preferred stock and warrants. Once this shelf registration statement becomes effective, the Company may issue registered securities, from time to time, in one or more separate offerings or other transactions, with the size, price and terms to be determined at the time of issuance. Cytokinetics has no immediate plans to raise funds under this shelf registration statement.
