Boston Scientific Corporation And Guidant Corporation Proposed Merger Registration Statement Declared Effective

NATICK, Mass., and INDIANAPOLIS, March 2 /PRNewswire-FirstCall/ -- Boston Scientific Corporation and Guidant Corporation today announced that the Securities and Exchange Commission has declared effective the Registration Statement on Form S-4 relating to the proposed merger between Boston Scientific and Guidant. The Joint Proxy Statement/Prospectus contained in the Registration Statement is being mailed to Boston Scientific and Guidant shareholders on or about Friday, March 3, and the companies will hold their respective special meetings of shareholders on March 31 to vote on the proposed merger. The merger is subject to customary closing conditions, including clearances under the Hart-Scott-Rodino Antitrust Improvements Act and the European Union merger control regulation, as well as approval of Boston Scientific and Guidant shareholders. Boston Scientific said it currently expects the merger to close during the week of April 3.

On January 25, 2006, Boston Scientific and Guidant announced that they had entered into a merger agreement, under which Boston Scientific will acquire all the outstanding shares of Guidant for a combination of cash and stock worth $80 per Guidant share, or approximately $27 billion in aggregate. Guidant shareholders will receive an additional $0.0132 in cash per Guidant share for each day beginning on April 1, 2006 through the closing date of the merger.

As previously announced, Boston Scientific has entered into an agreement with Abbott under which Abbott will acquire Guidant’s vascular intervention and endovascular businesses, while agreeing to share rights to Guidant’s drug-eluting stent program with Boston Scientific. Boston Scientific believes that the agreement with Abbott will enable it to rapidly secure antitrust approvals for the proposed transaction.
