CARLSBAD, Calif., April 20 /PRNewswire/ -- Medex, Inc. (“the Company”) today announced that the tender offer and consent solicitation for its outstanding 8 7/8% Senior Subordinated Notes due 2013 (CUSIP No. 584105AB6) (the “Notes”) expired at midnight, New York City time, on April 19, 2005. On April 5, the Company accepted for purchase approximately $199.7 million aggregate principal amount of the Notes, representing more than 99.8% of the total principal amount outstanding. Since then, no additional Notes have been received.
As previously announced, the Company was acquired by Smiths Group plc (“Smiths Group”) on March 21, 2005, and is now a wholly-owned subsidiary of Smiths Group.
Morgan Stanley & Co. Incorporated acted as Dealer Manager for the tender offer.
