Biotricity Successfully Completes Private Placement

REDWOOD CITY, Calif., Aug. 08, 2017 (GLOBE NEWSWIRE) -- Biotricity Inc. (OTCQB:BTCY), a medical diagnostic and consumer healthcare technology company dedicated to delivering innovative, biometric remote monitoring solutions, has successfully completed its previously announced private offering. The offering consists of units of one share of common stock and a three-year warrant to purchase one-half share of common stock at an initial exercise price of $3.00 per whole share, raising aggregate gross proceeds of approximately $6.5 million. If and upon exercise of the warrants, the adjusted cost basis per share for investors would be $2.17 per share. The capital raised will continue to be used for, among other things, building out the company’s sales force and implementing its go-to-market strategy, as well as for general corporate purposes. As a part of the private offering, Biotricity also converted its outstanding convertible debt into equity in accordance with its terms.

The completion of this financing is a major milestone for Biotricity, as it puts the company in a strong financial position to begin implementing its “go to” market strategy to launch its first product.

The securities offered in the private offering have not been registered under the Securities Act of 1933, as amended, and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.
