Alliqua Raises $20.3 Million in Private Placement of Equity and Exercise of Warrants
LANGHORNE, Pa., April 15, 2014 (GLOBE NEWSWIRE) -- Alliqua, Inc. (ALQA) (“Alliqua” or the “Company”), a provider of advanced wound care products, has raised $20.3 million in a series of transactions that included a $15.0 million private placement of common stock and warrants and $5.3 million from the exercise of warrants from several institutional shareholders.
In connection with the private placement, Alliqua issued 2,139,287 shares of common stock and warrants to purchase 427,857 shares of the Company’s common stock at an exercise price of $10.50 per share.
In a separate transaction, Alliqua received approximately $5.3 million from the exercise of warrants to purchase 930,313 shares of common stock at an exercise price of $5.69 per share. These warrants were issued in November 2013 and had a five-year term.
Alliqua intends to use the proceeds from the transactions for working capital purposes, as well as expansion of its suite of technological solutions through acquisitions.
The securities issued in the private placement and warrant exercise were offered only to certain accredited investors in reliance upon an exemption from the registration requirements of the Securities Act of 1933, as amended (the “Securities Act”).
