Transgenomic, Inc. Board Confirms Date And Location Of Special Meeting Of Stockholders And Announces Reverse Stock Split Ratio

OMAHA, Neb.--(BUSINESS WIRE)--Transgenomic, Inc. (OTCQB: TBIO), today announced that its Board of Directors confirms its special meeting of stockholders will be held on June 5, 2017 at Troutman Sanders LLP’s offices located at 1001 Haxall Point, Richmond, Virginia 23219. The purpose of this meeting is to vote on the proposed merger with Precipio Diagnostics and certain other matters. All stockholders of record as of April 12, 2017 are eligible to vote at this meeting, or prior to the meeting by mail or by electronic submission of their vote.

A Proxy Statement and all materials related to the transaction have been mailed to stockholders, and the Board of Directors recommends a vote in favor of all proposals. In conjunction with the proposed merger, and as part of the Company’s plan to re-list its common shares on NASDAQ, Transgenomic’s Board of Directors has approved a 1-for-30 reverse split of its issued and outstanding shares of common stock. The planned effective date of the reverse split is 5:00 p.m. EDT on June 5, 2017. After the reverse split, the number of shares outstanding will be reduced from approximately 26.8 million shares to approximately 0.9 million shares. The number of outstanding shares of common stock after the reverse split does not take into account the shares of Company common stock and preferred stock to be issued in connection with the merger with Precipio Diagnostics, and the related transactions, including the conversion of certain secured indebtedness of the Company and a proposed private placement of preferred stock by the Company to certain investors. The merger and the transactions relating to the merger are expected to close in June 2017.

Stockholders who hold their shares in brokerage accounts or “street name” are not required to take any action to effect the exchange of their shares following the reverse split.
