JUPITER, Fla., May 12, 2011 /PRNewswire/ -- Stem Cell Assurance, Inc. (SCLZ.PK) announced today that it has filed a General Form for Registration of Securities on Form 10 pursuant to Section 12(g) of the Securities Exchange Act of 1934. The Form 10 includes audited financial statements as of December 31, 2009 and 2010 and for the years then ended. Based upon this filing, effective July 11, 2011, the Company will become an SEC reporting company and will be subject to the requirements of the Exchange Act which will require the Company, among other things, to file annual reports on Form 10-K, quarterly reports on Form 10-Q and current reports on Form 8-K.
The effectiveness of the Form 10 on July 11, 2011 will facilitate the listing of the Company’s shares on stock markets other than the Pink Sheets.
