NORWOOD, MA--(Marketwired - June 10, 2016) - Corbus Pharmaceuticals Holdings, Inc. (NASDAQ: CRBP) (“Corbus” or the “Company”), a clinical stage drug development company targeting rare, chronic, serious inflammatory and fibrotic diseases, announced today that the Company has entered into a Securities Purchase Agreement for the sale of shares of its common stock in a registered direct offering to investors, including several healthcare oriented fundamental institutional investors. The Company is selling 5,960,000 shares at a purchase price of $2.50 per share with gross proceeds to the Company totaling $14.9 million.
The proceeds from the offering will be used towards the continued advancement of the Company’s clinical development programs of its investigational drug, Resunab for the treatment of cystic fibrosis (“CF”), diffuse cutaneous systemic sclerosis (“systemic sclerosis”), skin predominant dermatomyositis and systemic lupus erythematosus (“SLE”).
The closing of the offering is expected to take place on or about June 15, 2016, subject to the satisfaction of customary closing conditions.
The shares are being offered by Corbus pursuant to a shelf registration statement on Form S-3 (File No. 333-207936) which was declared effective on November 19, 2015 by the Securities and Exchange Commission (the “SEC”). Resunab is a novel synthetic oral endocannabinoid-mimetic drug that preferentially binds to the CB2 receptor expressed on activated immune cells and fibroblasts.
