NEW YORK, NY and PETACH TIKVAH, ISRAEL--(Marketwired - April 25, 2014) - BrainStorm Cell Therapeutics (OTCQB: BCLI) announced today that it has entered into agreements with holders of warrants originally issued in the Company’s August 16, 2013 public offering, to exchange outstanding warrants to purchase an aggregate of 11,662,059 shares of Company Common Stock, $0.00005 par value, and issue to the holders an aggregate of 5,831,031 shares of unregistered Common Stock. Each share of Common Stock issuable pursuant to the August 16, 2013 warrants was exchanged and the holder received shares of unregistered Common Stock equal to one-half (0.5) of its number of warrant shares, rounded up to the nearest whole share. All exchanged warrants were cancelled and of no further force and effect. The purpose of the exchange is to facilitate the Company’s plans to uplist its stock to a national securities exchange such as NASDAQ.
