APOPKA, Fla.--(BUSINESS WIRE)--April 22, 2004-- Agreement Signed With Yangling Daiying Biological Engineering Co., Ltd.
Sun City Industries, Inc. (OTCBB: SCII) has entered into a Reorganization Agreement with Yangling Daiying Biological Engineering Co., Ltd., a corporation organized under the laws of the People's Republic of China. Daiying has developed the world's very first Hepatitis C virus (HCV) culture that retains biological activity in vitro. The Reorganization Agreement is conditional upon the signing of a consulting agreement, warrant agreement and the completion of various schedules to be part of the Reorganization Agreement. A closing date has not yet been set but the parties are striving to close in April 2004. Sun City will be filing an 8K to satisfy its reporting requirements under Regulation FD and the Exchange Act of 1934 as amended. The Reorganization Agreement will be provided as an exhibit to the 8K.
