MADISON, N.J., Feb. 7 /PRNewswire-FirstCall/ -- Wyeth today announced that it is extending the expiration date for the exchange offer relating to certain of its outstanding senior notes.
The exchange offer relates to the exchange of $1.5 billion in aggregate principal amount of the Company's outstanding senior notes, consisting of $1,000,000,000 5-1/2% Notes due 2016 (CUSIP Number 983024AH3 (144A); CUSIP Number U85387AA3 (Reg. S)) and $500,000,000 6% Notes due 2036 (CUSIP Number 983024AK6 (144A); CUSIP Number U85387AB1 (Reg. S)) (the "Original Notes") for a like principal amount in new notes registered under the Securities Act of 1933, as amended (the "Exchange Notes"). The exchange offer, which commenced on January 6, 2006 and was previously set to expire on February 7, 2006, will now expire at 5:00 p.m., Eastern Time, on February 8, 2006, unless extended.
Except for the absence of transfer restrictions under the federal securities laws applicable to the Original Notes, the Exchange Notes are identical to the Original Notes. Except for the extension of the expiration date, all terms and conditions of the exchange offer remain unchanged and in full force and effect.
As of February 6, 2006, holders of approximately $1,498,575,000 in aggregate principal amount of Original Notes have tendered Original Notes pursuant to the exchange offer.
