MALVERN, Pa., Dec. 22 /PRNewswire-FirstCall/ -- Novavax, Inc. today announced that it has filed a universal shelf registration statement with the Securities and Exchange Commission. When declared effective, the registration statement will allow the company to issue securities, which may consist of common stock, preferred stock, warrants, or any combination thereof, in one or more future offerings up to a maximum aggregate offering price of $100 million.
Commenting on this new shelf registration statement, Gary C. Evans, Chairman of the Board, stated, “While Novavax currently has no current plans to access either the public or private equity markets, we believe it is prudent to be prepared for any future financial requirements that may be necessary as we continue to execute our business plan.”
The registration statement on Form S-3 has not yet become effective, and the securities may not be offered or sold until such time as the registration statement is declared effective.
