Medicago, Inc. Announces Closing of Investment by Philip Morris Investments B.V.

QUEBEC CITY, Dec. 16, 2011 /PRNewswire/ - Medicago Inc. (“Medicago” or the “Corporation”) (TSX: MDG), a biotechnology company focused on developing highly effective and competitive vaccines based on proprietary manufacturing technologies and Virus-Like Particles (“VLPs”), announces that further to the press release dated December 15, 2011, the second tranche of the investment of $22.5 million by Philip Morris Investments B.V. (“PM Investments”) has now closed. This second tranche was approved by 99.43% of the disinterested shareholders of Medicago present or represented by proxy at a special meeting of the shareholders of Medicago held on December 15, 2011. The second tranche of the $22.5 million private placement consists in the issuance of 17,200,000 common shares of the Corporation at a price of $0.65 per common share in favour of PM Investments for gross proceeds of $11,180,000.

Prior to the closing of the first tranche of this private placement, PM Investments held 30.2% of the outstanding common shares of the Corporation and following the closing of the second tranche of the Private Placement, PM Investments holds 40% of the outstanding common shares of the Corporation. Therefore PM Investments is a “related party” of Medicago under Multilateral Instrument 61-101 respecting Protection of Minority Security Holders in Special Transactions (Regulation 61-101 respecting Protection of Minority Security Holders in Special Transactions in Québec)(“MI 61-101”). The Private Placement is a “related party transaction” under MI 61-101 but it is exempt from formal valuation and minority approval requirements under MI 61-101.

All common shares issued and to be issued to PM Investments as part of the Private Placement are subject to a four month hold period.
