AxoGen, Inc. Announces Pricing of $18 Million Underwritten Offering and Uplisting to NASDAQ

ALACHUA, FL – August 9, 2013 – AxoGen, Inc. (currently NASDAQ: AXGN, formerly OTCQB: AXGN), a leading regenerative medicine company focused on the commercialization of proprietary products and technologies for peripheral nerve reconstruction and regeneration, today announced the pricing of the underwritten offering of 6,000,000 shares of its common stock at a price to the public of $3.00 per share generating gross proceeds of approximately $18 million, excluding the underwriters’ over-allotment option and deductions for underwriting discounts and commissions and estimated expenses.

In connection with this offering, AxoGen received approval to list its common stock on the NASDAQ Capital Market under the ticker symbol “AXGN”.

AxoGen will use the net proceeds from the offering to expand product commercialization and marketing efforts for its portfolio of peripheral nerve repair products (Avance® Nerve Graft, AxoGuard® Nerve Connector and AxoGuard® Nerve Protector); to further develop its product pipeline; and for general working capital purposes. This offering is expected to close on August 14, 2013, subject to customary closing conditions.
