We are a Contract Development and Manufacturing Organization (“CDMO”) with the sole purpose to support our customers as they deliver on the medicines of today and advance the medicines of the tomorrow. In order to provide the required services and support, FDB must first establish mutually beneficial agreements with our customers that detail the assumptions and conditions of the partnership.  The Senior Director, Commercial Negotiation will collaborate with the Commercial organization by supporting or leading the commercial elements of the negotiation of Master Service Agreements, Commercial Supply Agreements, Master Service & Supply Agreements, T&Cs, Licensing Agreements etc, as applicable.

PRINCIPAL ACCOUNTABILITIES

  • Collaborate with the Commercial Development Team & Global Alliance Management Team when new customers have selected us as their CDMO partner and provide support or lead (as applicable) all aspects of the commercial contract negotiation.
  • Collaborate with internal SMEs to ensure that negotiated terms are deliverable and support a balanced allocation of risk and reward.
  • Collaborate with legal and finance SMEs throughout the negotiation process to ensure compliance with all internal FDB policies. Note: this role is to support the commercial elements of the negotiation (which include risk tolerance, levels of liability etc) and not to provide legal input (enforceability and compliance with law)
  • Collaborate with Commercial Leadership to ensure that any negotiated contracts align with risk / reward expectations for both the customer and FDB. Contracts in support of our services are sophisticated and detailed and as such attention to detail and appreciation of nuance is critical.
  • Ensure that timelines for negotiation are credible and realistic and work closely with the S&OP process to ensure that planning for new program onboarding is aligned with the conclusion of the contract negotiation.
  • Support continuous improvement of contract templates to ensure that our positions are concise and appropriate.
  • Provide updates to leadership on the status of contract negotiations and summaries of negotiated positions in key contracts,
  • Coach, mentor & train the commercial team on all aspects of commercial negotiation and FDB best practices and applicable templates.

SPECIAL FEATURES

  • Job holder will have contract drafting and negotiation experience; while it is not necessary for the job holder to have received formal legal training, demonstrated competence in reading, interpreting and negotiating complex commercial agreements is essential.
  • Job Holder shall have a significant track record in negotiating a range of commercial contracts e.g. licenses, MSAs, CSAs.
  • Job holder ideally has a scientific, engineering or business background and has an appreciation for the development and manufacturing services provided by us.
  • Job holder must demonstrate an ability to establish thriving working relationships with internal and external stakeholders and demonstrate our core value of being “Partners for Life”
  • Job holder shall have excellent written and oral communications skills and demonstrate critical and creative thinking.
  • Job holder shall have the ability to influence others and demonstrate strong people and project management skills.
  • Job Holder will be willing to work flexibly with colleagues across several time zones.

FDBU works with technical data, technology and materials that are subject to U.S. export laws and regulations. This position will require access to technical data, technology and source code that is controlled under U.S. export laws and regulations, including but not limited to the International Traffic in Arms Regulations at 22 C.F.R. Parts 120 – 130 and Export Administration Regulations in 15 C.F.R. Part 730 – 774, as may be amended.
