Job Details
As part of the Law Department, this attorney will serve as counsel for the company in connection with business development and strategic transactions, including license agreements, collaborations, and various business development transactions. Among other internal groups, this attorney will advise and represent the Regeneron Genetics Center in collaborative research and licensing arrangements with leading academic institutions around the word, as well as industry collaborators. This attorney will be responsible for drafting, reviewing and negotiating agreements and providing advice to management regarding proposed transactions and compliance with existing contractual obligations, regulations, company policy and general corporate and commercial law. The successful candidate will have demonstrated experience in drafting and negotiating complex agreements and transactional documents. Experience with transactions in the life sciences industry is preferred, but not required and attorneys with strong transactional experience at top-tier law firms are encouraged to apply.
As an Associate Director Corporate Counsel a typical day may include:
- Drafting, reviewing and negotiating agreements and providing advice to management regarding proposed transactions and compliance with existing contractual obligations, regulations, company policy and general corporate and commercial law.
- Working closely with internal clients (including scientific and business leaders) in connection with collaborations, licensing arrangements and other strategic transactions.
- Drafting, reviewing and negotiating intellectual property and technology license agreements, collaboration agreements, material transfer agreements, sponsored research agreements, confidentiality agreements, and consulting agreements.
- Working closely with the intellectual property group to ensure accurate protection of intellectual property assets.
- Partnering with the regulatory and compliance groups to advise on relevant regulatory and legal matters impacting existing or proposed arrangements, including regulations specific to genetic sequencing, privacy, antitrust, as well as general corporate and commercial law.
- Oversight and coordination of relevant legal matters handled by outside counsel.
This role may be for you if you possess:
- Demonstrated experience in drafting agreements and transactional documents, advising on intellectual property matters and technology licensing arrangements.
- Experience with general corporate, privacy and regulatory matters specific to the biotechnology and pharmaceuticals industries.
- Proven experience in effectively and collaboratively counseling clients and working across diverse teams.
- A history of self-motivation, working independently on projects, meeting aggressive deadlines, and prioritizing multiple matters.
- The ability to manage cross-functional teams that include employees at different levels of the company.
- The ability to quickly gain familiarity with legal, regulatory and ethical issues associated with genetic research.
To be considered for this role you must have a BA/BS and JD with excellent law school credentials and a minimum of 4+ years of relevant experience. Demonstrated expertise with negotiating and drafting complex agreements (biotech, pharmaceutical and/or life sciences experience preferred). Technology and intellectual property licensing experience (biotech, pharmaceutical and/or life sciences experience preferred). Top tier law firm/in-house experience preferred. Licensed to practice law in New York or be eligible for licensure as a registered in-house counsel.
