GRAIL’s Legal Department is seeking a dynamic and collaborative Senior Counsel to join the Corporate practice team, supporting GRAIL’s strategic transactions and pharmaceutical partnerships for GRAIL’s post-diagnosis (PDx) program related to companion diagnostic solutions. This role will work cross-functionally to deliver novel and strategic solutions to complex issues while mitigating risk. This role requires the ability to work independently and present analysis and counsel to executive leaders and key business stakeholders.
You will:
  • Lead legal negotiations of complex terms in research, collaboration, and other significant strategic agreements and advise the PDx team in connection with business negotiations.
  • Draft, review, and negotiate a variety of agreement types, including term sheets, services agreements, research agreements, and other collaboration agreements covering all stages of a product's life cycle (i.e., research, development, and commercialization), including companion diagnostic agreements.
  • Support miscellaneous project-based legal assignments and initiatives, including template development and revision, and training of client groups.
  • Provide timely advice to internal clients on a wide range of transactions and matters, including contract interpretation, dispute resolution, IP ownership and other legal risks.
  • Assist with the development of policies and procedures, and preferred positions for different agreements.
  • Provide legal advice and support for existing partnerships.
  • Develop excellent working relationships with functional groups and project teams.
  • Working independently; initiate new assignments and identify ways to continuously improve templates, processes, policies, and operations.

Your background should include:
  • A US based Law degree from accredited law school and active member of a state bar or registration as in-house counsel
  • 5-8+ years of transactions experience, ideally with a mix of national law firm experience and prior in-house life sciences experience strongly preferred; advising, drafting and negotiating agreements, including significant experience with transactions in the life sciences industry advising clients on both business and legal issues
  • Experience in companion diagnostic and pharmaceutical transaction matters.
  • Familiarity with healthcare compliance implications in contracting and data privacy laws a strong plus
  • Extensive experience drafting and negotiating a wide range of agreements involving pharmaceutical partnerships and diagnostics

The expected, full-time, annual base pay scale for this position is $168,000 - $223,000. Actual base pay will consider skills, experience, and location.

Based on the role, colleagues may be eligible to participate in an annual bonus plan tied to company and individual performance, or an incentive plan. We also offer a long-term incentive plan to align company and colleague success over time.
