About the role:

Join Takeda as a Lead, Ethics and Compliance Governance where you will focus on what the organization needs by ensuring

By working in an agile manner E&C ensures the balance between stable structures, governance, processes and systems, and dynamic approaches to delivering creative solutions to manage our risks.

E&C commits to

- Act as role model for Takeda's values, ethics and values-based decision-making, promoting this mindset in clients, partners and team

- Allow the organization to take ethical decisions that are brought to life by applying Patient, Trust, Reputation, and Business

- Collaborate across all E&C teams and partner with teams in BU / BF to embed ethics and compliance as part of the way everyone works at Takeda

How you will contribute:
  • Design and implement governance framework across E&C allowing for connectivity between main areas: Enterprise Risk Management (ERM), Investigations, Monitoring, Program Assessment, Policy
  • Support committees to tackle priority topics for E&C and manage/oversee information flow (e.g., escalation pathways)
  • Lead Risk Ethics & Compliance Committee (RECC) Office including
  • Prepare monthly GEC RECC meetings
  • Manage agenda items for quarterly RECC including approval of GEC documents, implementation plans, and E&C Policy Team proposals
  • Support annual risk assessments and E&C Program Assessments
  • Support monitoring by RECC and managing annual public disclosures (e.g., (Dow Jones Sustainability Report, Integrated finance reports, SOX certification, etc.)
  • Assessing external body updates to identify main topics to cover by RECC (e.g., updates from IFPMA / eFPIA / Local Associations updates, EY, KPMG, Deloitte)
  • Lead E&C related interactions around
  • E&C-driven Governance bodies, e.g. RECC, GIA Forum
  • E&C-driven topics for non E&C Governance bodies, e.g.,BoD, BRC, Takeda Sustainability Network, Annual reporting
  • E&C disclosures, e.g., SOX, J-SOX, DJSI
  • Close collaboration with Investigations, Policy, Monitoring and BU / BF E&C representatives to ensure holistic coverage of all E&C / Risk related topics within and outside of Takeda
  • Be a role model for Takeda's values, ethics and values-based decision-making, promoting this mindset in partners, teams, and other partners

Minimum Requirements/Qualifications:


  • 8 or more years of Ethics & Compliance or comparable framework experience in a corporate setting, specifically in the Healthcare industry
  • Expertise in internal control and regulatory frameworks, preferably with knowledge of corporate governance (e.g., SOX, J-SOX)
  • In-depth business experience & organizational insight, preferably in a global pharmaceutical organization
  • Experience in Ethics & Compliance preferred
  • Experience in partnering with senior partners
  • Experience working in a global environment with multiple partners; Japan and US experience preferred
