We are seeking an Associate Director, Legal Affairs, to join our Legal team. This position will be responsible for leading and managing contract operations and providing general contracts advice across all the Company's business functions. Key areas of focus include negotiating and drafting a wide variety of agreements related to the Company's research and development activities, the protection of the Company's intellectual property, supporting of the Company's commercial operations and business development activities, and various corporate contracts. Over time the Associate Director may collaborate with colleagues to assist with various other legal matters related to the Company’s operations. This is an exciting opportunity for a dynamic and collaborative life sciences attorney who wants to contribute to the growth of a thriving, fast-paced biotech company.
 
This position will be located in either our Boston, MA, USA or Vancouver, BC, Canada location. 

RESPONSIBILITIES: 

  • Independently draft, review, negotiate and finalize a wide variety of contracts related to the Company's research, development, and commercial activities, including clinical trial agreements, sponsored research agreements, pre-clinical research and service agreements, nonclinical service agreements, manufacturing and supply agreements, collaboration agreements, material transfer agreements, distributor agreements, as well as confidentiality, consulting, and service agreements. 
  • Oversee and manage contract operations including designing processes to ensure efficient and effective delivery of contracting services to the business and implementing new contract templates, policies, and procedures. 
  • Identify and analyze legal risks and implications with respect to the Company’s projects, operations and business transactions.  
  • Collaborate with legal, finance and business colleagues to integrate compliance processes (SOX, healthcare law, anti-bribery and corruption, data privacy, etc.) with contract operations. 
  • Conduct legal research, obtain advice from outside counsel and provide legal advice related to international, federal and state/provincial laws pertaining to life sciences companies. 
  • Key contributor to risk management strategies.  
  • Provide legal support across the organization, including quickly and effectively identifying complex legal and compliance issues and providing advice in a manner that integrates risk management with the Company’s business objectives. 
  • Develop and maintain collaborative relationships across the company and contribute to cross-functional or departmental projects and teams. 
  • Contribute to and complete any additional projects or legal matters as needed, including general corporate matters. 
  • Over time this position may have people management responsibilities to include recruiting, leading, developing, coaching, and evaluating direct reports, in accordance with the Company’s Human Resource policies and practices. 
  • Act in accordance with Company policies, including, for example, the Code of Business Conduct and Ethics and ensure policies are understood and followed by direct reports, if any. 
  • Other duties as required. 

QUALIFICATIONS:

  • JD required, with admission to a law society or MBA preferred. 8+ years of legal experience either in private practice or in-house.  
  • Prior exposure to clinical trials preferred as well as experience in the life sciences, or similar, industry. 
  • Experience contracting for a variety of pharmaceutical activities including research, development, supply and commercialization. 
  • Extensive knowledge of relevant laws, regulations, guidance, and industry codes. 
  • Ability to work flexibly in a fast-paced and growing environment with a strong work ethic and positive attitude. 
  • An interest in future people management responsibilities. 
  • Excellent analytical, problem-solving, and organizational skills to handle multiple responsibilities. simultaneously and still meet high quality and timeliness standards. 
  • Accountability, sound judgment, pragmatic business acumen and the ability to take ownership of an issue and provide concise and timely advice. 
  • Excellent interpersonal skills and a professional client service orientation towards internal and external stakeholders. 
  • Ability to work independently, as a team member, and across the organization with varying levels of employees. 
  • Excellent research, writing, and communication skills 
  • Advanced redlining skills with strong attention to detail. 
  • Proficiency in MS Office, especially Word and PowerPoint. 
  • Ability to manage outside counsel effectively and efficiently and adhere to a budget.
