About the Role:
Sanguine Biosciences seeks to hire a Corporate Paralegal/Executive Administrator to join our high growth biotechnology company.  If you are client-service oriented and think big while also paying great attention to detail on tight deadlines, while appropriately and easily prioritizing and switching gears without sacrificing quality of work, this role will appeal to you. In the role, you will maintain a high level of professionalism, integrity, and discretion in handling confidential information, and have the ability to work well with people at all levels inside and outside Sanguine Biosciences. A successful individual will assist the CEO and executive team in managing various aspects of our commercial and operation practices, supporting some of the contracting needs across the organization and working with our Board of Directors.  This role will report directly to the CEO and support the executive team in the company's growth plans and strategies.


Primary Responsibilities:

  • Experience working within Carta/eShares Software to manage cap table requests, including but not limited to stock transfer agreements, information updates, general shareholder queries, stock option agreements/templates
  • Experience working with banks and other entities to manage administrative duties, including but not limited to completing information requests and gathering signatures from CEO and executive team
  • Experience using a Contract Lifecycle Management tool (e.g. DocuSign CLM) to review, organize and manage legal documents
  • Experience with efficiently and precisely executing personnel logistics for executives, including but not limited to travel, lodging, expense review/reimbursement
  • Experience optimizing schedules and calendaring for executives
  • Experience accompanying executives to meetings for note taking in significant detail (Eg..for business development activities)
  • Assist with the management and calendaring of deadlines for issues central to commercial and operations teams.
  • Assist in maintaining tracking important legal matters and disseminating information to internal and external stakeholders.
  • High level of skill at building relationships and providing excellent customer service to internal and external stakeholders.
  • Business letter writing, grammar and punctuation, and report preparation.
  • Experience working at the board level, including but not limited to attending and organizing board meetings, drafting board meeting minutes, circulating consents, and gathering signatures

Position Requirements:

  • Bachelor's degree and Paralegal Certificate from a professionally recognized paralegal/legal assistant program or equivalent work experience performing paralegal activities.
  • Bachelor's degree and completion of an accredited paralegal certification program OR; At least 5 years of legal experience in a paralegal role with Paralegal Certification
  • Notary Certification
  • Experience using Carta/eShares Experience working at the level of the board of directors and C-suite

Experience working with Contract Lifecycle Management software (e.g. DocuSign CLM)

  • Worked in High Growth or Start Up environment
  • Experience working with fast paced Executive (C-Suite Team)
  • Excellent verbal and written communication skills.
  • Familiarity with a wide variety of agreements, including NDAs, master services agreements, consulting agreements, and other commercial contracts.
  • High level of organization and ability to manage multiple activities.
  • Strong attention to detail and accuracy.
  • Detail-oriented self-starter who can work independently as well as in a team environment, with the ability to meet critical deadlines.
  • Flexibility in approaching tasks and in working with others.
  • Ability to tailor communication to disparate audiences to better communicate legal concepts and objectives.
  • Ability to spot important legal issues and communicate them.
  • Ability to be discrete and to maintain absolute client confidentiality.
  • Manage time well and perform multiple tasks, and organize diverse activities.
  • Work well under pressure and exercise tact in trying situations.
  • Must be able to maintain a professional working environment, free from background distractions and noise.
