Job Description:

The Assistant General Counsel, Business Transactions will serve as the primary legal advisor and partner to the Business Development & Licensing, External Innovation and Corporate Legal team. The AGC will provide legal support to corporate transactions, M&A, BD&L, Strategic Alliances, and related litigation:

Main Responsibilities & Job Expectations:

  • Provide legal advice and support to the Global Partnering Team for BD&L and M&A activities, including: due diligence, negotiation, drafting of agreements from early to late stage
  • Provide legal advice and support to the External Innovation and Strategic Alliance teams
  • Evaluate potential contractual arrangements, draft, review and negotiate agreements for M&A, BD&L and Strategic Alliance including, but not limited to confidentiality agreements, consulting agreements, collaboration agreement, research and development agreements, option agreements, asset purchase agreements, share purchase agreements, shareholders agreements, investor agreements, JV agreements
  • After the deal making, continue to advise on contract interpretation on signed BD&L, M&A projects and advise the External Innovation and Strategic Alliance team for the continued compliance with contractual provisions in light of company’s business objectives and business operations considerations, as well as legal and regulatory requirements
  • Provide general legal advice as needed by Corporate Finance, Accounting and M&A Finance
  • Partner and work cross-functionally with the rest of the Legal department such as Company Secretary, Global Asset Legal and Risks & Insurance
  • Hire and manage external counsel, law firms and vendors
  • Monitor and analyze new and developing laws, regulations and enforcement activity within the biopharma industry and incorporate learnings into internal education, messaging and policy development efforts; assist in trainings and presentations to company on legal issues and policies

Education & Experience:

  • JD is required; an advanced degree in business (e.g. MBA) or related would be a plus
  • 7+ years experience providing legal counsel and support for BD&L, M&A and related transactions within the life sciences industry
  • Ideal candidate will have experience with global deals and transactions
  • Previous in-house experience is required or equivalent experience in private practice such at a law firm advising life sciences companies on corporate transactions
  • Confirmed experience in assessing strategic issues: identifying risks and opportunities associated with third party activities and driving risk-mitigation plans
  • Thorough understanding of legal principle application to licensing, research, development, commercial, supply, manufacturing, distribution, corporate, procurement, regulatory.
  • Fluent in English with French or other languages

  • Ability to challenge outside counsel
