Reporting to the General Counsel, the Contracts Administrator & Corporate Paralegal will proactively enable the efficient operation of the Legal department with a focus on client service, a high level of attention to detail and who thrives in a fast-paced/high-performing environment.




Contracts Administration:

  • Manage the contracting process through Arcus’ contract management system; evaluate and improve the workflows and configurations as needed
  • Ensure accurate and up-to-date repository of Arcus’ contracts and associated data for tracking, analysis and dashboards
  • Onboard, train and educate internal clients on the use of the contracts management system and related department processes, policies, and guidelines
  • Master and seek to improve the internal contracting process by identifying and building scalable solutions which streamline the contracting process and improve cycle times
  • Establish collaborative working relationships with internal business partners to support the timely implementation, testing, adoption, and acceptance of new contracting processes
  • Assist with the expeditious approval and execution of contracts in hard copy and via DocuSign in support of internal client goals and timelines


Corporate Governance:

  • Own and maintain a complete repository of legal records, including Board of Directors and shareholder minutes, entity information for Arcus and its subsidiaries, and director and officer information
  • Assist with corporate governance activities, including maintaining the corporate calendar, assembling board and committee packages, drafting of routine consents/actions, and managing the D&O questionnaire process
  • Prepare corporate filings, such as NYSE Written Affirmations and California Statements of Information
  • Prepare and file SEC documents, including Section 16 filings and applications for EDGAR filing codes
  • Respond to requests for information and documents from internal and external auditors, regulators, partners, and other stakeholders
  • Research and analyze corporate governance trends and track industry precedents


  • Identify, evaluate, and implement processes and tools making the Legal team's services better, faster, and more efficient
  • Maintain files and support the development and implementation of corporate policies and templates, including tracking employee training
  • Assist with tracking of Legal department invoices and budget




  • Paralegal certificate or bachelor’s degree from an accredited college or university highly preferred
  • 4+ years of relevant contracts and corporate experience in a law firm or in-house at a public company
  • Superior organizational skills with meticulous attention to detail; high level of accuracy and excellent proofreading skills
  • Ability to interact and communicate effectively with individuals from all departments and at all levels of the organization
  • Strong ability to analyze data and create succinct presentations tailored to the audience at hand
  • Experience driving the implementation of different systems and technologies improving work efficiency
  • Self-motivated and ability to thrive in a fast-paced and lean environment
