The SEC Reporting Manager will be directly responsible for managing the SEC reporting process, including timely preparation and submission of quarterly and annual SEC filings (Forms 10-Q and 10-K), assisting with Form 8-K and proxy filings, earnings reports and SOX compliance. The SEC Reporting Manager will serve as the primary contact for the audit and quarterly reviews, lead the technical accounting efforts and assist with the monthly close. This position will report to the Assoc Director, Accounting.

Key Responsibilities:
SEC Reporting:

  • Prepare, analyze and review quarterly and annual SEC filings including financial statements (i.e. balance sheet, income statement, statement of cash flows, statement of stockholders’ equity), footnotes, schedules and MD&A
  • Partner with internal and external groups to manage the SEC reporting process and meet periodic reporting deadlines
  • Prepare EPS calculations and checklist
  • Prepare Stock Based Compensation calculations and update ASC 718 memo on a quarterly basis
  • Review quarterly equity reports and vouch new grants/cancelations to support documentation
  • Review and approve XBRL tagging of financial statements under US GAAP
  • Prepare tie-out support for all SEC filings
  • Prepare GAAP disclosure checklists
  • Ensure financial statements are prepared in accordance with US GAAP and SEC regulations including newly issued accounting pronouncements
  • Ensure that all audit assigned PBCs are provided on a timely basis to the auditors and assist with answering auditor’s ad hoc request
  • Lead update of control process narratives and assist with internal SOX compliance testing
  • Participate in the coordination and preparation of quarterly reports, annual reports, current reports, and proxy, including working cross functionally to collect information and input into SEC filings, coordinating, reviewing and collecting comments on various drafts, helping ensure appropriateness of disclosures, completing relevant disclosure checklists and reporting questionnaires
  • Maintain quarterly reporting timetable and monitor progress
  • Assist in administering the Disclosure Committee and follow-up
  • Assist legal team with Section 16 beneficial ownership form filings (i.e. Forms 3, 4, and 5)
  • Other duties as assigned

Technical Accounting:

  • Proactively monitor newly issued accounting pronouncement and manage the company’s timely implementation of relevant pronouncements
  • Identify complex transactions requiring technical analysis and perform research and prepare technical memos on the transactions

Monthly Close:

  • Provide support on the monthly and quarterly closes including preparation of reconciliations for more complex or technically challenging balance sheet accounts


  • Review tax provision memo and calculation
  • Prepare/review R&D tax credit, Orphan Drug credit and IP Strategy memo and related calculations


  • Certified Public Accountant
  • 5+ years of related experience
  • 2+ years of public company experience
  • Technical accounting background with knowledge of US GAAP, SOX, and SEC reporting standards


  • Big 4/Public Accounting experience
  • Biotech industry experience
  • Experience with Netsuite and Carta
