Emergent is seeking a Senior Counsel to join its dynamic and growing legal team.  This position will provide strategic advice and partnership across the organization with a focus on supporting Emergent’s contract manufacturing and development organization (CDMO).  This position will primarily review, draft, and negotiate a variety of contracts and will have the opportunity to expand legal skills and be a part of the team’s digital transformation.

    • Draft, review, and negotiate commercial contracts, including development and manufacturing services for Emergent’s CDMO commercial, government, and non-government organization (NGO) customers.
    • Provide contract support for manufacturing facility capital projects including engaging and managing external counsel as needed.
    • Draft, review, and negotiate a variety of agreements in support of the company’s functional groups including procurement, IT, manufacturing, process and analytical development, clinical trials, laboratory services, and others as needed.
    • Collaborate within the legal team to provide cross-functional support for all business units
    • Provide general legal advice and support on day-to-day operational issues and significant company-wide matters
    • Assist with contract related due diligence reviews of acquisition targets and the integration of newly acquired companies or contracts
    • Prepare and provide occasional training to internal clients
    • Serve as a member of one or more cross-functional teams responsible for technology evaluation and implementation and other process improvement projects related to routine legal activities including contract drafting, execution, and life cycle management.

    Education/Bar Membership:

    • J.D., licensed to practice law in the United States
    • Active membership and in good standing in a state bar



    • 7+ years of in-house legal experience, or combination of in-house and law firm experience, actively drafting, negotiating, and executing a wide variety of commercial contracts for the biopharmaceutical industry
    • 3+ years of in-house experience with a contract development and manufacturing organization drafting, negotiating, and executing, product development services, and clinical and commercial drug substance and/or drug product manufacturing services agreements
    • Experience working successfully in a highly matrixed international work environment



    • Knowledge of biopharmaceutical and biotechnology industry and associated manufacturing is required
    • Knowledge of large molecule therapeutics, mRNA, viral vector, and non-viral vector vaccine technologies a plus

    • High level of legal innovation and cross functional capacity; ability to lead and think beyond “legal” and to lead cross functional innovative initiatives
    • Serve as a senior legal advisor to leadership teams contributing business and legal expertise/guidance to medical countermeasure product development and strategy
    • Maintain an enterprise view in developing and delivering legal guidance to client base
    • Lead educational sessions for legal group and company
    • Ability to advise on risk-based decisions involving significant risk to company reputation and financial risk and to act with a high degree of autonomy and to act globally
    • Manage outside counsel as needed
    • Team-oriented with a strong sense of humor
