Responsibilities:
  • Day-to-day transaction processing and data entry such as but not limited to Option exercises, including 10b5-1 transactions for executives through outside brokers
  • Daily restricted stock releases; Deliver trade settlements timely; Review of Forms 3, 4, and 5 upon changes to Beneficial Ownership per Section 16 requirements; Terminations; Participant account updates; Maintain accurate record of equity data and support to ensure SOX compliance
  • Monitor equity mailbox to respond to inquiries and requests regarding equity programs and grants
  • Support Human Resources, Legal, Tax, Payroll, & Accounting with ad hoc reporting
  • Liaise with Human Resources on Monthly Grant Lists, process new securities in Equity Edge Online (EEO), and distribute grant agreements
  • Composition of Grant Agreement Packages
  • Account Tax and Year-to-Date Imports & Reconciliations
  • Collaborate with Legal on insider restrictions and trade clearances
  • Assist with ESPP management
  • Monthly, Quarterly, & Annually Reconciliations
  • Year-End Tax Reporting for parent company as well as for subsidiaries/affiliates
  • Act as liaison between outside law firms and subsidiary contacts/participants for equity transactions
  • Prepare financial disclosures for 10-Q, 10-K, and Proxy statement information
  • Perform other duties and ad hoc projects as assigned
  • Assist in the Stock-Based Compensation Expense Valuation


Education, Experience, & Skills Requirements:
  • 5+ years of experience as an equity professional
  • CEP is preferred but not required
  • Knowledge of public as well as private company governance, equity-related administration, accounting, tax, and legal concepts
  • Hands-on recent experience working with E*TRADE’s Equity Edge Online
  • Prior knowledge of Certent, Carta, Shareworks, and ADP WFN is a plus
  • Proficient in accounting for Stock-based Compensation as per ASC 718
  • Excellent attention to detail and well-developed time management skills
  • Strong Microsoft Office skills with a focus on Excel
  • Effective communicator, oral & written
  • Ability to multi-task in a fast-paced environment and adjust to changing priorities
  • Must be able to manage confidential information with discretion
  • Self-motivated team player who maintains customer focus
  • Able to function independently with minimal direction as well as collaborate cross-functionally on projects
