Mammoth Biosciences is seeking an experienced Transactional Attorney to join our growing legal team. The ideal candidate will have a strong background in supporting a broad range of transactional matters (from NDAs to strategic transactions in therapeutics and diagnostics areas) for a life science start-up company.

    • Manage all contracts and provide high-quality, timely, and practical legal advice
    • Identify and help resolve critical legal and business issues
    • Establish and maintain working relationships with all levels of management, including working closely with Business Development
    • Apply legal expertise, drafting and negotiation skills to counsel and support the Company to effectively manage risks on contractual matters, including drafting, review and negotiation of complex strategic transactional agreements, partnership agreements, commercial, and operational agreements (e.g., therapeutic and diagnostic partnerships, academic licenses, master service agreements, material transfer agreements, manufacturing and supply agreements, equipment purchase agreements, sales agreements, sales terms and conditions, professional services agreements, non-disclosure agreements, recruiting/search agreements and other agreements as needed)
    • Build a strong rapport and working relationship with business, operational, and legal team members to help drive the delivery of effective and high quality legal services
    • Manage and collaborate with outside counsel and other external advisors on strategic areas
    • Build and maintain relationships with key personnel in academic research, technology transfer offices, therapeutic and diagnostic technology companies, and business development
    • Track agreements for compliance
    • Improve and innovate legal workflows
    • Advise on various legal risks, business strategies, and other issues related to complex IP deals and help create mitigation strategies
    • Partner with internal stakeholders to develop internal corporate policies and processes, including technology, privacy, and compliance policies
    • Ability to travel for deal negotiations, as required
    • Other duties as assigned

    • A JD and a license to practice in at least one state in the US
    • Minimum of 5+ years of progressively responsible life science transactional/corporate/commercial legal experience
    • Experience at a nationally recognized law firm and/or in-house corporate legal department
    • Experience representing clients in the life science/biotech industry, including therapeutics, diagnostics, and research tools
    • Demonstrated experience in hands-on drafting and negotiation of transactional, commercial and other contracts

    • California bar membership
    • Bachelor's degree in biology, chemistry, computational biology or related field
    • 2+ years in-house experience
    • Experience representing a start-up/fast-growth life science organization
    • Excellent communication, organizational, planning and management skills, with the ability to handle multiple projects simultaneously
    • Strong intellect, excellent legal acumen, and rigorous analytical skills
    • Ability to serve as a project lead on departmental initiatives and manage and mentor other legal department teammates
    • Experience working in cross-functional teams, as well as sound business and legal judgment, and strategic and analytical thinking
    • Ability to identify opportunities to leverage existing systems and processes, create new process initiatives and solutions
    • Strong follow-up skills, ability to manage multiple conflicting priorities, ability to drive projects with little guidance or direction
    • Ability to be highly engaged and succeed in a collaborative and fast-paced environment
    • Professional communication skills in writing, on the phone and in person
