Overview

Black Diamond Therapeutics is a precision oncology medicine company pioneering the discovery and development of small molecule, tumor-agnostic therapies. Black Diamond targets undrugged mutations in patients with genetically defined cancers for whom limited treatment options currently exist. Black Diamond is built upon a deep understanding of cancer genetics, protein structure and function, and medicinal chemistry. The Company's proprietary technology platform, Mutation-Allostery-Pharmacology, or MAP, platform, is designed to allow Black Diamond to analyze population-level genetic sequencing data to identify oncogenic mutations that promote cancer across tumor types, group these mutations into families and develop a single small molecule therapy in a tumor-agnostic manner that targets a specific family of mutations

The Payroll and Equity Manager will be responsible for the Company's payroll and equity administration processes, reporting to the Corporate Controller. This position requires professionalism and discretion, with the ability to deliver quality work in a high growth environment while helping to build our finance capabilities. This position will interact closely with all levels of management and staff, as well as outside service providers, including vendors, consultants, and attorneys. Responsibilities

Payroll:

 

  • Execute timely and accurate payroll process, including regular and off-cycle payrolls within our payroll system (Paylocity in US, ADP in CAN)
  • Administrate 401(k), including funding, ensuring contributions are aligned with employee elections, and preparation of annual Form 5500
  • Prepare journal entries for all payroll-related accounts
  • Support the monthly reconciliation of payroll to the general ledger
  • Respond to confidential questions from employees regarding paychecks, direct deposits, tax deductions, and/or general payroll questions
  • Partner closely with Human Resources to ensure timely and accurate employee transactions and to provide ad hoc support (PTO tracking, benefits administration, etc.)
  • Create and update documentation evidencing payroll policies, processes and related controls to maintain compliance with SOX 404 requirements
  • Identify opportunities for process improvements and system enhancements to increase efficiencies
  • Assist the quarterly and year-end audit process, including providing materials to support audit requests and interacting with external audit team
  • Support other regulatory activities as needed, including local, state, IRS, and workers compensation audits
  • Special projects and other tasks as assigned

 


Equity:

 

 

  • Timely collection of award approvals from legal team and retain to evidence grant issuances
  • Enter new participants in our equity administration system (UBS)
  • Process grants of new equity awards and equity modifications timely
  • Monitor equity pool reserves, exercises and vesting events
  • Ensure income and taxes associated with employee equity activity (i.e., exercises, sales) are properly recorded on W-2s and taxes are remitted timely to tax authorities through payroll provider
  • Reconcile equity award activity between UBS and our transfer agent records
  • Assist with the period end financial reporting associated with our equity plans, including validating system calculations of the fair value of equity awards and preparation of period end journal entries
  • Support communication and compliance with our insider trading policies, including monitoring 10b5-1 plan activity
  • Support legal team to file required forms with the Securities and Exchange Commission related to executive and Board of Directors' equity activity, including new grants, and purchases and sales of our common stock
  • Administrate our ESPP program, including enrollment, offering periods and purchases
  • Respond to questions from employees and others related to equity awards
  • Liaise with transfer agent, legal team, and company management to manage external shareholder equity inquiries
  • Ensure that internal controls and procedures are followed to satisfy SOX 404 requirements
  • Special projects and other tasks as assigned


Qualifications

Experience & Qualifications:

 

 

  • Bachelor's degree required and CPP (Certified Payroll Professional) preferred
  • 10+ years of experience, including both in payroll operations and in stock administration of a publicly traded company
  • Must have experience with stock options and RSUs
  • Basic knowledge of US GAAP
  • Understanding of internal controls, including documentation required for SOX 404 compliance
  • Proficient using Paylocity or equivalent payroll system, and UBS (Solium-based) or equivalent equity administration system
  • Proficient in Microsoft Excel
  • Ability to maintain strict confidentiality of materials and information
  • Excellent problem-solving skills, analytical mindset with good judgement and high level of attention to details and accuracy
  • Able to multi-task, prioritize, and work under tight deadlines
  • Strong written and verbal communication skills; appropriately communicates with all levels within the organization
  • Able to work independently and effectively with a range of individuals
  • Reputation for integrity, high quality work and commitment to compliance
  • Biotech experience a plus, but not required

 


Work Environment:

This job operates in a professional office environment with travel activities of approximately 20-30% of the time.
